GTC– General Terms and Conditions of Somapharm AG
All sales and deliveries are made exclusively on the basis of the following terms and conditions. Any deviating conditions of the customer require our written consent. Orders become binding only by our confirmation. We may withdraw from an order without stating any reason, if it can be assumed that the delivery to the customer poses a financial risk for us.
All offers are non-binding; delivery and prior sale remain expressly reserved. Offers are generally valid for 3 months, unless otherwise specifically agreed in writing.
The cancellation of firm orders by the buyer requires our written consent.
3. Sales prices:
The sales prices are in Swiss francs, subject to change, ex Baar, not including packaging and shipping costs. Orders exceeding 300.00 francs are delivered free of charge.
4. Partial deliveries:
Partial deliveries shall be allowed. In this case, we only charge one-off packaging and shipping costs for the first partial delivery. All other deliveries are free of charge.
Shipping is at the expense and risk of the recipient.
If the goods are returned within 4 weeks from the date of delivery, we reserve the right to charge a fee of 20% of the value of the goods.
Complaints of any kind must be made immediately, but no later than 10 days after receipt of the goods, in writing.
8. Payment terms:
Our invoices are payable within 30 days of the invoice date.
Repairs are payable within 7 days of the invoice date.
In case of late payment, we charge default interest of 10%.
9. Retention of title:
Delivered goods remain our property until full payment has been made. Übertragungen von Ansprüchen Dritter auf unser Eigentum ist nicht statthaft. Transfer of third-party claims to our property is not permitted.
10. Place of fulfilment and jurisdiction:
The place of fulfilment and jurisdiction for payments and deliveries and for all legal claims and obligations arising from transactions with us is Zug/Baar. For both parties, the Swiss Code of Obligations applies exclusively as applicable law.
